About the position:

The Associate General Counsel reports to the General Counsel and is responsible for providing legal services and instituting processes and controls primarily in the areas of global supply chain, gift-in-kind distribution, programs, regulatory and corporate compliance.

Key Outcomes:

In the first 90 days, the Associate General Counsel will:

  • Learn and live the Americares values.
  • Complete all required new hire onboarding trainings.
  • Partner with Gift-In-Kind Compliance and Internal Audit Department to ensure timely DSCSA compliance.
  • Evaluate and enhance Export Controls and Economic Sanctions program, including improving 50% rule protocols.

In the first 6 months, the Associate General Counsel will:

  • Update the Code of Conduct.
  • Enhance compliance committee charter and investigation processes and templates.
  • Identify and implement efficiencies in legal and compliance practice areas, where possible.

In the first year, the Associate General Counsel will:

  • Develop vendor contract management process and workflow including development of playbook and training key stakeholders.
  • Enhance management process for enterprise policies and procedures
  • Update anti-corruption compliance program

Duties and Responsibilities:

Legal and Global Supply Chain

  • Support Procurement and Supply Chain clients
  • Review Commercial Contracts in assigned areas
  • Manage Gift-In-Kind Operations transactions and issues, such as the review of Gift-in-Kind partnership agreements, transportation and logistics contracts, review of operational policies and procedures. Also, support pharmaceutical donation agreements, as needed.
  • Oversee Pharmaceutical warehouse licensing process
  • Manage distribution, warehouse, domestic and international shipping issues
  • Support the legal needs of key programs, such as US Programs, Emergency Response, Medical Outreach, and Patient Assistance Program.
  • Review Real Estate/Facilities contracts and manage issues
  • Manage legal issues related to the Adverse Event Reporting Process

Regulatory and Corporate Compliance

  • Support Distribution Center and Gift-In-Kind Operations Compliance with DSCSA, DEA, OSHA, and other regulatory issues
  • Partner with Gift-In-Kind Operations Compliance with the review of operations policies and procedures and other compliance needs.
  • Review and manage government grants and subcontractor compliance for agencies such as USAID, PRM, and other country government agencies
  • Manage international trade compliance programs including, import, export/BIS, OFAC/Economic Sanctions, and Antiboycott
  • Manage FCPA/Anticorruption Compliance Program
  • Support the compliance committee including by leading investigations and support the enhancement of investigatory processes
  • Oversee Code of Conduct and manage policy governance
  • Support Privacy/GDPR Compliance Program
  • Design, implement, and monitor internal controls
  • Conduct trainings, where appropriate.
  • Other duties as assigned

These competencies are required for the role:

  • Demonstrated and deep legal expertise in procurement, global supply chain, gift-in-kind operations, international warehousing, pharmaceuticals, real estate/facilities, and corporate/regulatory compliance
  • Sound legal judgement and excellent ethical compass
  • Demonstrated experience as a consultative business partner
  • Demonstrated ability to produce work with agility and at a high quality and volume
  • Demonstrated ability to work across many teams with diverse backgrounds as a team player
  • Excellent communication skills

  • Demonstrated ability to navigate conflict resolution, with a focus on communication, conversation and resolution.

A JD degree is required.

US work authorization is required for this role.

These competencies would be great to have, but are not required:

  • Demonstrated experience in strategy and planning, and aligning work product into larger organizational strategy and goals.
  • Demonstrated leadership in leading a team of people, building shared understanding and motivation to achieve results.
  • Fluency in languages that are spoken in at least one of our core locations (India, Philippines, Tanzania, El Salvador, Puerto Rico, Colombia, etc.), in addition to English.
