Corporate Law Assistant with Paralegal TasksOur business partner is a law firm located in downtown Montreal with a good reputation in the business community. We are looking for a Legal Assistant with experience in Corporate law.As a Legal Assistant, you will have the opportunity to work with a seasoned lawyer with a clientele that includes both large corporations and financial institutions. Your contribution to the various files of mergers and acquisitions, commercial contracts, corporate reorganizations, financing, and securities, will allow you to put your legal knowledge and expertise to good use.YOUR ROLE :
Among your duties, your responsibilities will involve
- Preparation, amendment and review of various legal documents in corporate and commercial law: resolutions, annual declarations, share certificates, shareholder agreements, share rollover and share exchange agreements, dividend declarations, mergers, dissolutions, commercial contracts;
- Support in various corporate and commercial transactions and preparation of closing documents;
- Incorporation of Federal and Provincial corporations;
- Corporate searches, notably at the REQ and at Corporation Canada;
- Updating of corporate books;
- Review of documents and correspondence to ensure compliance with legal procedures and grammatical usage;
- Agenda management and coordination of meetings and travel while respecting deadlines;
- Rigorous tracking of files and correspondence;
- Opening, paper and electronic filing, time entry and follow-up.
SKILLS REQUIRED :
- Diploma of Vocational Studies (DVS) in legal secretarial work or Diploma of Collegial Studies (DCS) in legal techniques or any other combination of relevant training and experience;
- Experience as a legal assistant or paralegal in commercial and corporate law;
- Proficiency in the Microsoft Office suite;
- Good organizational skills and ability to manage several files simultaneously;
- Thoroughness, autonomy and proactivity;
- Professionalism, team spirit and good interpersonal skills.
