Job Description:The Opportunity:WSP is currently looking for a full-time Corporate Paralegal. Under the supervision of the Deputy General Counsel & Assistant Corporate Secretary, the successful candidate will be responsible for providing support primarily in the areas of corporate and commercial law, corporate compliance and governance and mergers and acquisitions. Responsibilities will include:
- Corporate maintenance of WSP’s legal entities attached to the Canadian operations.
- Draft, file and manage various business entity documents for WSP’s corporations across Canada, including ones related to corporate maintenance and required submissions to clients, regulators and other stakeholders.
- Minute books review and maintenance.
- Assist with corporate transactions and reorganizations in collaboration with other functions.
- Maintain organized electronic filing systems for legal documents and correspondence.
- Assist with the preparation and review of corporate documentation, including the one for board meetings (e.g. agendas, resolutions, presentations and meeting minutes…), officer’s certificates, corporate information requests from clients…
- Maintenance of corporate database.
- Provide support to internal clients including maintenance of reference materials on WSP’s intranet and the legal SharePoint.
- Conduct legal research on various topics.
- Assist in the preparation of various documents for the legal department.
- Assist the legal team, on the governance front, in implementing internal procedures and policies.
- Perform any other related tasks and projects.
What you’ll bring to WSP:
- Diploma of College Studies (DEC) in Paralegal Technology or equivalent.
- 0-2 years of relevant experience as a Paralegal in corporate and commercial law.
- Excellent written and oral skills (French and English).
- Proficient in Microsoft Office Suite (Outlook, Word, Excel, PowerPoint, Visio).
- Strong analytical skills and problem-solving abilities.
- Rigour, discipline and attention to detail.
- Professional judgment and ability to establish a high degree of credibility.
- Ability to multitask, prioritize tasks and work effectively in a team environment.
- Sense of discretion and confidentiality with professional maturity.
- Ability to act as project manager for some long-term projects/initiatives.
