Permanent Full TimeReporting to the Assistant Vice-President and Senior Counsel, Corporate & Securities, you will provide valuable and timely support to the Legal Division and the Corporate Secretary’s Office in connection with Great-West Lifeco’s and Canada Life’s securities filings and securities financing transactions. You will have primary accountability for completing and managing all Great-West Lifeco and Canada Life securities filings on SEDAR+ and for managing our insider reporting program and related governance. Working closely with a group of highly accomplished legal and business professionals, your work will be wide-ranging and will give you the opportunity to demonstrate proven expertise in dynamic practice areas, as well as learn new skills.What you will do
- Prepare, complete and manage all Great-West Lifeco and Canada Life securities filings on SEDAR+
- Maintain SEDI profiles and file insider reports on SEDI in connection with long-term incentive plans, normal course issuer bid program and other securities arrangements
- Manage the organization’s insider reporting program and related governance
- Perform TSX regulatory filings through TMX Linx
- Coordinate securities regulatory inquiries and prepare responses to external information requests
- Work closely with the Corporate Secretary’s Office on securities filings and related matters
- Draft securities-related transaction documents and provide support for external debt and equity financing transactions, internal financing structures and corporate reorganizations
- Manage the corporate governance of various financing subsidiaries, including the drafting and execution of resolutions, meeting minutes and other governance material, in collaboration with the Corporate Secretary’s Office
- Assist with strategic initiatives on an ad hoc or ongoing basis
What you will bringMust-have
- Post-secondary legal diploma (or equivalent education)
- Minimum 5 years of experience with securities documentation and regulatory filings, including in-depth experience and technical familiarity with SEDAR+, TMX Linx and SEDI
- Strong knowledge of continuous and timely disclosure filing and insider reporting obligations and timelines
- Strong ability to balance competing work demands and to work under tight deadlines
- Excellent problem-solving, communication and organizational skills
- Excellent written and verbal communication skills adaptable to a broad range of audiences, including senior business executives and members of the Board of Directors
- Strong focus and attention to detail
- Ability to work effectively both independently and collaboratively in a team environment
- A strong desire to build effective relationships with internal partners
Nice-to-have
- Bilingual (English/French) considered an asset
- Familiarity with debt and equity financing transactions and complex internal financing structures
