We are actively seeking a seasoned Commercial/ Technology Lawyer with a proven track record of working on a wide range of commercial technology agreements to join the team in Toronto. One of the perks of working here is its expedited path to partnership.Job Title: Technology LawyerLocation: Toronto, Ontario, CanadaJob Description: As a Technology Lawyer, you will play a crucial role in supporting our legal and business objectives in the technology sector. You will provide expert legal counsel and guidance on a range of technology-related matters, including outsourcing agreements, software license and cloud services agreements, commercial supply and distribution agreements, advising on technology and licensing terms in M&A transactions, and transition services agreements.Key Responsibilities:
- Outsourcing Agreements (MSAs):
- Draft, review, and negotiate outsourcing agreements, including Master Services Agreements (MSAs), SAAS, distribution agreements, in bound and out-bout IP licenses, ensuring compliance with legal and business requirements.
- Advise internal stakeholders on best practices and risk mitigation strategies related to outsourcing arrangements.
- Advise and support for online and social media businesses, as well providing expertise on privacy, intellectual property law, and compliance-related matters
- Large portion of work will pertain to M&A transactions related to the technology/ IP sector, including conducting due diligence and drafting and reviewing of IP agreements on related deals
- Client management from start to finish – especially M&A files
- 100% solicitor work, no litigation of any kind
- Software License and Cloud Services Agreements:
- Develop and negotiate software license agreements and cloud services agreements to facilitate the licensing and distribution of technology solutions.
- Stay informed about industry trends and regulations to ensure compliance and mitigate legal risks associated with software and cloud services.
- Commercial Supply and Distribution Agreements:
- Review and negotiate commercial supply and distribution agreements to support our procurement and distribution processes for technology products and services.
- Collaborate with cross-functional teams to ensure alignment with business objectives and compliance with legal requirements.
- Advising on Technology and Licensing Terms in M&A Transactions:
- Provide strategic guidance and support on technology and licensing terms in mergers and acquisitions (M&A) transactions, including due diligence, negotiation, and documentation.
- Assess and mitigate legal risks associated with technology assets and intellectual property during M&A activities.
- Transition Services Agreements:
- Draft and negotiate transition services agreements to facilitate the seamless transition of technology assets and services during mergers, acquisitions, or divestitures.
- Work closely with internal and external stakeholders to ensure smooth transitions and minimize disruptions to business operations.
Qualifications:
- Juris Doctor (JD) degree from an accredited law school.
- Admission to the Bar in Ontario.
- 3+ years of experience practicing law, with a focus on technology transactions and contracts.
- Proven track record of drafting, negotiating, and advising on technology-related agreements.
- Strong understanding of intellectual property, licensing, and regulatory compliance issues in the technology sector.
- Excellent communication, negotiation, and problem-solving skills.
- Ability to work independently and collaboratively in a fast-paced environment.

- Minimum 4+ years of Commercial/ Technology experience
- Significant experience with a wide variety of commercial agreements
- Comes with significant client management experience
- Admitted to the Law Society of Ontario
- Located in Toronto. Must be comfortable with hybrid work model
BENEFITS AND COMPENSATION
- Salary: $195,000 – $235,000/year
- Annual bonus based on performance
- Hybrid work options
